1. Who this agreement is with
This service is operated by 3TS Group LLC, a California limited liability company, doing business as 99websites.co ("99Websites," "we," "us," or "our"). "You" or "Client" means the person or business that submits our questionnaire, makes a payment, or uses the service.
1008 West Ave M-14, Suite D832
Palmdale, CA 93551, USA
2. Accepting these terms
By submitting our intake questionnaire, making a payment, approving a preview, or otherwise using the service, you agree to these Terms of Service and to our Privacy Policy, Acceptable Use Policy, Cookie Policy and Refund Policy, each of which is incorporated by reference. If you are agreeing on behalf of a business, you represent that you are authorized to bind that business. If you do not agree, do not use the service.
3. What we provide
The service is a productized website package. For the fees described in Section 9, we provide:
- One custom-designed, single scrolling web page (the "Site") for one business, with a short anchor menu (typically one to three links) that jumps between sections of that page. The Site is a static website — it has no content-management system, login area, database, or server-side application, and no dynamic functionality beyond the contact form(s) described below.
- Layout and basic copywriting assistance using the information and materials you provide.
- A mobile-responsive build, standard on-page search-engine fields (title, description, headings), and one or more contact / enquiry / quote-request forms that deliver submissions to the email or phone number you designate.
- An embedded map and outbound links to tools you already use (for example a scheduling page, ordering page, or social profile).
- One round of revisions after we deliver your first preview, to correct a first draft that misses the brief.
- Publication of the approved Site to a 99Websites-managed address, or to a custom domain you provide, and managed hosting for as long as your hosting subscription is active (Section 5).
Timelines we mention (for example "2–3 business days") are estimates, not commitments, and depend on your timely responses.
4. What is not included
The following are not part of the standard package. Two of them — an extra page, and embedding a booking widget — are available as self-serve add-ons at the price shown in your client portal, purchased and fulfilled the same way as the rest of the Site. Everything else below is quoted and agreed separately in writing before any such work begins:
- An extra page, or embedding a third-party booking widget (e.g. Calendly, Square Appointments) — available as a self-serve add-on in your portal. Custom appointment-scheduling functionality built from scratch is not, and remains quote-only.
- Multi-page sites (beyond the one extra page available as an add-on above), multiple locations, additional revision rounds, ongoing content updates beyond fair-use requests (Section 5), copywriting from scratch, logo design, photography, or translation.
- Online ordering, reservations, e-commerce, shopping carts, or payment collection on the Site.
- Customer or patient portals, member logins, or any authenticated area.
- IDX / MLS property search, home-valuation tools, financing or loan applications, calculators, or live chat.
- CRM, marketing-automation, or other software integrations.
5. Hosting & keeping your site online
Your Site is hosted exclusively on infrastructure we manage. We do not deliver the Site as files, source code, a template, or an export, and we are under no obligation to do so. An active annual hosting subscription is required for the Site to remain online.
Hosting includes managed hosting and content delivery, a TLS/SSL certificate, routine backups, security patching, uptime monitoring, client-portal access, and fair-use update requests. "Fair use" means small changes you request through your portal or by email — swapping a photo, editing text, updating your hours, price, or a link — not redesigns, new sections, new features, or work described in Section 4. We may decline or quote separately for requests that exceed fair use.
If your hosting subscription lapses, is cancelled, or is terminated for any reason, we will take the Site offline. After the Site is offline we may retain or delete the build at our discretion, subject to the retention practices in our Privacy Policy.
We do not guarantee any specific level of uptime or availability. We aim for high availability and use commercially reasonable efforts to keep the Site online, but we provide no service-level agreement, uptime credit, or remedy for downtime, maintenance windows, or outages of upstream providers.
6. What we need from you
- A complete, accurate intake questionnaire and any assets we reasonably request (business details, logo, photos, hours, service list, contact details).
- Timely responses. If a project has no response from you for 30 days, we may pause or close it; fees are handled under the Refund Policy.
- Your review and approval of the final Site before it goes live. Once you approve, you are responsible for the accuracy of everything on the Site.
7. Legal pages on your site
On request, we can include standard-template privacy and terms pages on your Site as a convenience. These templates are general and are not legal advice. You are solely responsible for reviewing them, for making sure they are accurate and appropriate for your business and jurisdiction, and for keeping them current.
Because your Site has no content-management system, dashboard, or back-end access, any change to those pages — or to any other part of the Site — is made by us on request as a fair-use update (Section 5). We are not responsible for a template page being out of date, incomplete, or non-compliant for your circumstances.
8. AI-assisted production
We use artificial-intelligence tools, including large language models, to help design and write your Site. All output is produced under human direction and is subject to our internal quality checks, but we do not warrant that AI-assisted copy, design, or code is error-free, complete, or fit for a particular purpose. Your review and approval under Section 6 is the point at which the Site is accepted. You are responsible for verifying all facts, claims, prices, hours, and legal or regulated statements on the Site before approval and on an ongoing basis.
9. Payment, billing & auto-renewal
Fees are shown at checkout and are in U.S. dollars. Payments are processed by Stripe; by paying, you also agree to Stripe's terms. You authorize us and Stripe to charge your payment method for all fees you incur.
- Build fee — a one-time charge for designing and building the Site (currently $99).
- Hosting fee — an annual subscription for the hosting and services in Section 5 (currently $99 per year). Your first year of hosting is typically charged with the build fee at checkout.
Automatic renewal. Your hosting subscription renews automatically each year on the anniversary of your purchase and your payment method is charged the then-current annual hosting fee, until you cancel. We will send a renewal reminder to your email before each renewal. You can cancel at any time — before the next renewal — from your client portal or by emailing hello@99websites.co; cancellation stops future charges and, at the end of the paid term, takes the Site offline. We may change the hosting price on renewal by giving you at least 30 days' notice by email; the new price applies to renewals after the notice period.
Taxes are your responsibility where applicable. Chargebacks or payment reversals made without first contacting us are a breach of these terms and may result in immediate suspension.
10. Refunds & cancellation
Refunds are governed by our Refund Policy. In short: the build fee is fully refundable before design work begins, partially refundable once a preview has been delivered, and non-refundable after you approve the Site or it goes live. Annual hosting can be cancelled at any time; we refund the unused portion of the current paid year on a pro-rata basis.
11. Ownership & intellectual property
Your materials. You keep all rights in the text, images, logos, and other materials you provide to us.
Your Site. On full payment of the build fee, and for as long as your hosting subscription is active, you receive a non-exclusive license to have the finished Site — the specific arrangement of your content that we produce — published and displayed by us on your behalf. You do not receive the Site's source files, and Section 5 governs how it is delivered.
Our materials. We retain all rights in our software, build pipeline, hosting platform, design system, page templates, component library, tooling, and any general skills, methods, or know-how we use or develop. Nothing in these terms transfers those to you. We may reuse non-client-specific elements (layout patterns, code, techniques) on other projects.
Portfolio. We may identify you as a client and display screenshots or a link to your Site in our portfolio, case studies, and marketing, unless you ask us not to in writing at hello@99websites.co.
12. Your content & your responsibilities
You represent and warrant that:
- You own, or have all necessary rights and licenses to use and to let us use, every piece of text, image, logo, video, font, testimonial, and other material you provide;
- Your content and your Site do not infringe any copyright, trademark, patent, trade secret, publicity, or privacy right, and are not defamatory, deceptive, or unlawful;
- All factual statements, prices, claims, credentials, licenses, reviews, and regulated or professional disclosures on the Site are accurate and compliant with the laws and rules that apply to your business; and
- Your use of the contact forms and any email we send on your behalf complies with applicable anti-spam and privacy laws.
You are responsible for how you use leads and personal information collected through your Site, including providing your own privacy disclosures to your visitors.
13. Acceptable use
Your use of the service is subject to our Acceptable Use Policy. We do not build or host sites for prohibited content or activities, and we may suspend or terminate the service for violations, as described there and in Section 18.
14. Third-party services
The service relies on third parties, including Stripe (payments), Cloudflare and Railway (hosting and infrastructure), Resend (email), Anthropic (AI), Google (Maps), and domain registrars. We are not responsible for the acts, omissions, outages, pricing, or policies of third parties, and your use of their features may be subject to their own terms. Domain registration, where you use your own domain, is a contract between you and your registrar.
15. Disclaimer of warranties
THE SERVICE, THE SITE, AND ALL RELATED MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Site will be uninterrupted, secure, or error-free, that defects will be corrected, or that the service will produce any particular result. We make no guarantee about search-engine rankings, traffic, leads, conversions, revenue, or business outcomes. Any advice we give about SEO, content, or design is opinion, not a guarantee, and is not legal, tax, accounting, or professional advice. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.
16. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW:
- NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY.
- OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (a) THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (b) USD $100.
These limitations apply regardless of the theory of liability and even if a limited remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you; in that case our liability is limited to the smallest amount permitted by law.
17. Indemnification
You will defend, indemnify, and hold harmless 3TS Group LLC and its members, officers, employees, and contractors from and against any claim, demand, loss, liability, damage, or expense (including reasonable legal fees) arising out of or related to: (a) your content or materials; (b) your Site's operation or the products, services, or claims it advertises; (c) your use of leads or personal information collected through the Site; (d) your breach of these terms or of any law; or (e) your infringement or violation of any third-party right.
18. Suspension & termination
We may suspend or terminate the service, in whole or in part, immediately and without refund if: you fail to pay; you breach these terms or the Acceptable Use Policy; your content or conduct creates legal risk or a security, abuse, or reputational problem; or we are required to by law or by an upstream provider. Where practical we will give notice and an opportunity to cure.
You may terminate by cancelling your hosting subscription (Section 9). On any termination: your license to have the Site published ends; we will take the Site offline at the end of the paid term; Sections 11, 12, 15, 16, 17, 19, 20, and 22 survive. On request within 30 days of termination we will provide a one-time export of the personal data we hold about you, but not the Site's source files or build.
19. Governing law & disputes
These terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules, and by applicable U.S. federal law. Subject to Section 20, the state and federal courts located in Los Angeles County, California have exclusive jurisdiction, and you consent to venue and personal jurisdiction there.
The service is intended for clients and visitors in the United States. It is not directed to, and we do not knowingly offer it to, individuals or businesses in the European Union, the United Kingdom, or the European Economic Area. If you access the service from outside the United States, you do so on your own initiative and are responsible for compliance with local law.
20. Arbitration & class-action waiver
Please read this section carefully — it affects how disputes are resolved and limits your rights.
Binding arbitration. Except for the carve-outs below, any dispute, claim, or controversy arising out of or relating to the service or these terms will be resolved by final and binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules (or, if JAMS is unavailable, by another established administrator we jointly select). The arbitration will take place in Los Angeles County, California, or by video or telephone at the claimant's election, before a single arbitrator. The arbitrator may award the same individual relief a court could. Judgment on the award may be entered in any court of competent jurisdiction. The Federal Arbitration Act governs the interpretation and enforcement of this section.
Class-action and jury waiver. All claims must be brought in the parties' individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over any form of a representative or class proceeding. You and we each waive any right to a jury trial.
Carve-outs. Either party may (a) bring an individual claim in small-claims court if it qualifies, or (b) seek injunctive or equitable relief in court for infringement or misuse of intellectual property or confidential information.
30-day opt-out. You may opt out of this Section 20 by emailing hello@99websites.co with the subject line "Arbitration Opt-Out" and your name and account email within 30 days of first accepting these terms. Opting out does not affect any other part of these terms.
21. Changes to these terms
We may update these terms. We will post the updated version here with a new effective date and, for material changes, notify you by email or through your portal. Changes take effect 15 days after they are posted, except changes required by law or that add a new feature, which are effective immediately. Continuing to use the service after that means you accept the updated terms; if you do not agree, cancel your hosting subscription.
22. General
- Entire agreement. These terms and the policies they incorporate are the entire agreement between us about the service and supersede all prior discussions.
- Severability. If any provision is unenforceable, the rest stays in effect and the unenforceable provision is limited to the minimum extent necessary. If the class-action waiver in Section 20 is found unenforceable, the entire arbitration agreement is void.
- No waiver. Our failure to enforce a provision is not a waiver of it.
- Assignment. You may not assign these terms without our written consent. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
- Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, including outages of upstream providers, acts of government, or natural events.
- Notices. We may send notices to your account email; you send legal notices to the address in Section 1 and to hello@99websites.co.
- Relationship. The parties are independent contractors; these terms create no partnership, agency, or employment relationship.
- Headings are for convenience only.
